Annual Return of Private Limited Company

Annual Filing includes filing of Form MGT-7 (Annual Return) and AOC-4 (Filing of Financial Statements). Every company needs to file Annual return within 60 days of holding of Annual General Meeting and a copy of financial statement including consolidated financial statement if any, which has been adopted at AGM shall be filed with ROC in e-form AOC-4 within 30 days of date of AGM. We helps to companies and corporate in preparing their annual return and financial statements and filing these with Registrar of Companies. Annual Return will be for the period 1st April to 31st March.

The performance reporting is to be done in a specified format, i.e. by filing Form AOC-4 and MGT-7 on the basis of balance sheet and directors report. AOC-4 is used to report the financial figures, whereas MGT-7 is used to provide annual information related to the shareholders/stakeholders of the Company.

Every Listed Companies or a company having paid up Share capital of minimum 10 crore or turnover of minimum 50 crore shall be certified by Practicing Company Secretary, and the certificate shall be in form MGT-8*. Moreover MGT-8* is required to be attached in MGT-7.

• Form MGT-7- Annual Return

It Contains the following details:-
1. Registered office details of the company, particulars of its holdings, principal business activities and associate companies;
2. Debentures, share and other securities and shareholding pattern;
3. Indebtedness;
4. Debenture holders and members along with changes;
5. Directors, Promoters, key managerial personnel along with changes;
6. Members meeting;
7. Director’s remuneration and key managerial personnel;
8. Punishment or penalty imposed on the company, its officers or director and details of compounding of offenses as well as appeals made against such penalty/ punishment;
9. Certification of compliances matters;
10. A pattern of the shareholding of the company and such other matters as required in the form;
11. Any other details as may be required.



• Form AOC-4 – Financial Statements & Other Documents

Mostly all companies file its financial statements and relevant attachments using Form AOC-4 each year. If the financial statements of the company are not adopted in an Annual General Meeting then un-adopted financial statements should be filed within 30 days of the date of AGM.

On the other hand, if the financial statements are adopted by the company then the adopted financial statements must be filed within 30 days of the AGM. Apart from this, if the company needs to revise the financial statement or Board’s report then revised financial statements can also be filed using form AOC-4.


• ADT-1 - Appointment of Auditor

An eform ADT-1 should be filed with ROC in order to appointment of auditor of the company.
